("Block") (NYSE: SQ) today announced the pricing of $2.0 billion principal amount of its 6.50% senior notes due 2032 (the "Notes") in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Act") and outside the United States to non-U.S. persons pursuant to Regulation S under the Act. The aggregate principal amount of the offering was increased from the previously announced offering size of $1.5 billion. The sale of the Notes is expected to settle on May 9, 2024, subject to customary closing conditions. Interest on the Notes will be payable in cash semi-annually in arrears, beginning on November 15, 2024.
