      By Eliot Brown Norways $1.6 trillion sovereign wealth fund said it is voting against Elon Musk's $46 billion pay package at Tesla. Norges Bank Investment Management, the central banks wealth-fund arm, released its decision Saturday, expressing concerns about the size of the compensation deal, among other factors. While we appreciate the significant value generated under Mr. Musk's leadership since the grant date in 2018, we remain concerned about the total size of the award, the structure given performance triggers, dilution, and lack of mitigation of key person risk, Norges said in a note. The fund, which invests Norways oil wealth on behalf of the public, has in recent years been trying to use its heft to push companies on issues like sustainability and CEO pay. The fund owned nearly 1% of Tesla shares as of December, according to FactSet. It said it would vote for Teslas plan to move its incorporation from Delaware to Texas, and it would vote in favor of reelecting James Murdoch and Kimbal Musk, Elon Musks brother, to the board. Voting closes Thursday for the pay package, which follows a Delaware court decision in January that struck down a prior version of the grant. Professional fund investors make up about 45% of Teslas shareholders, according to FactSet, giving them a big hand in any decision. Two prominent investor proxy advisory firms, ISS and Glass Lewis, have recommended against the pay deal. Many top investors havent said how they plan to vote.
